Hello,
My
name is Tom Fortt, President of Fortt Business Sales, Inc.
I
have been a Business Broker since 1969 during which
time I have brokered hundreds and hundreds of business and
building sales. When a very prominent Seattle business attorney
informed my client that he thought my business Purchase
& Sale Agreement was the finest one that he had seen
in his 35 years of law practice, I decided then to share
my business brokering knowledge nationwide with people who
were buying or selling businesses. Incidentally, this Purchase
& Sale Agreement has been dramatically improved since
this attorney reviewed it several years ago.
The
Purchase and Sales Agreement and supporting Exhibits are
the most important documents in the transfer of a business
ownership because from these the final Sales Contract is
prepared and closed out. Hence, it is of paramount importance
that a full disclosure of all facets of the business operation,
past and present, is agreed to in writing by the principals
to the transaction. This not only protects the Buyer with
a full disclosure but the Seller as well because after a
closing the Buyer cannot claim that he "didn't know or wasn't
told."
Yes, the Fortt Business Guide
Purchase & Sale Agreements are detailed, whereas the
simple, pre-printed, "slam-bang, sign here" Purchase &
Sale Agreements are the most dangerous because so many issues,
disclosures and concerns are not addressed. Equally bad
are those Purchase & Sale Agreements that are prepared
by quasi professionals who think they understand the process
but perhaps do not. I've seen some terrible examples.
These
Purchase & Sale Agreements & supporting Exhibits
are the "heart and soul" of the
Fortt Business Guide, albeit there are an additional
505+ P/C files of text and formats that you could search
for years to find.
This
storehouse of difficult to locate information can now be
available at your fingertips whenever you have a need
- and for just a very modest cost. Of course, all the text
& PC formats can be printed, revised and/or adapted
to satisfy your specific needs.
In
addition, there is a separate Purchase & Sale Agreement
and supporting Exhibits for the business building (space)
that you wish to buy or lease. If buying is not
an option, then you must review one file that sets forth
17 safeguards to protect you and your assets (as a Lessee)
from greedy landlords.
There
are also various financing scenarios in the Purchase
& Sale Agreements (business and real estate) for you
to choose from and to adapt to your own needs, covering
everything from creative zero down payment financing to
a combination of creative or standard financing with your
commercial banker. I'll even show you how to buy a building
with no cash out of your pocket, with the structuring verbiage
awaiting your specific input.
I
have often read in the legal sections of various newspapers
about numerous legal actions where buyers and sellers
of businesses have filed against each other because of a
"flawed" business sale. Too many buyers and sellers (and
brokers) are needlessly placing themselves at severe financial
risk when they buy or sell a business. Of course, this holds
true for real estate as well, fee simple or leased. The
Fortt Business Guide provides a wealth of information
about buying, leasing or selling the business, building
or space that will help prevent such an occurrence.
Suffice
to say a businessperson can be very knowledgeable about
operating a business while being a failure at buying or
selling one, with just one misstep through the selling
process that could create drastic consequences after a closing.
Whereas just one good idea from the Fortt
Business Guide could "make your
day" by preventing you from making serious and costly
errors, regardless if you are a buyer or seller.
My
experience has proven to me that there is a genuine need
for the Fortt Business Guide
to Buying and Selling a Business with business buyers and
sellers throughout the United States. Even people from England,
Spain, Scotland and Mexico have purchased the program....and
never requested a refund. The Fortt Business Guide is ideally suited for privately
held businesses under $1,5 million in value. Please be aware
that 85% of the 4 million (+/-) businesses sold in these
United States each year are under $850,000.00 in value.
You
must read some of the wonderful testimonials from businesspeople
that have volunteered them after purchasing the Fortt
Business Guide, including one of my favorites that
states, "It is the best investment that I have ever made."
A seller
can also save thousands in brokerage commissions...(bearing in mind that a good Business Broker can be an invaluable
asset) and both parties can save considerable expense
by not paying professionals $200.00 (+/-) per hour to perform
sundry and, in many instances, basic "due diligence" that
should be done by the principals just for the discovery,
i.e., learning, process. Your attorney and accountant should
brought into the transaction as a result of removing contingencies
of the Purchase and Sale Agreement, not at the onset when
much of this investigative & discovery process should
be conducted by the principals.
I
wish you every success and thank you for considering the
purchase of the Fortt Business Guide
that has taken thousands of my hours to create during the
past 17 years.
Sincerely,
Tom
Fortt,
President and Business Broker
Fortt Business Sales, Inc.
A
couple of more testimonials....
"Tom..After
spending a zillion dollars on attorneys fees when I
sold my last business, I now want to eliminate much of that
expense by doing my own due diligence and document preparation
when I purchase my next business. My attorney will be utilized
for a final review only. I am looking forward to receiving
your program." (Rick T. , phone conversation - Dallas, Texas)
"Thomas:
I can't thank you enough for sending my CD so fast.
I'm already ecstatic over your wonderful way of doing business
on the Internet by making it surprisingly personal. I'm
already pleased with the information that I've learned by
a quick browsing. I'll get back with you after I've had
a serious chance to read through some of the tons of information
that you've included." (This was sent May 1999 - since then
I've added a several hundred pages of great "stuff.") [Marsha
P., Chicago, Illinois - E-mail)
